Thetford Mines, Quebec – May 4, 2023 – KDA Group Inc. (TSXV: KDA) (“KDA” or the “Corporation”) is pleased to announce the completion of the transactions with 9483-0296 Quebec Inc. (“9483”) and Groupe Sante Halsa Inc (“Halsa”), previously announced by press release dated March 27, 2023, according to which 9483 and Halsa (collectively the “Buyer”) acquired the business of placement agency for pharmacists and pharmacy technical assistants for a total consideration of ten million two hundred thousand dollars (CAN $10,200,000). The transactions are effective as of May 1, 2023.

(TSXV: KDA) (“KDA” or the “Corporation”) is pleased to announce that the Corporation has entered into an asset purchase agreement (the “Asset Purchase Agreement”) with 9483-0296 Québec Inc. (“9483”) and a share purchase agreement (the “Share Purchase Agreement”) with Halsa Health Group Inc. (“Halsa”) pursuant to which 9483 and Halsa, affiliated companies (collectively the “Buyer”), have agreed to acquire, subject to the fulfilment of certain conditions, KDA’s pharmacist and pharmacy technical assistant placement agency business for a total consideration of ten million two hundred thousand dollars ($10,200,000) (the “Sale Price”).

(“Cavendish”) to market the technology products of its wholly-owned subsidiary, Groupe Technologique KDA Inc., throughout the Asian market, including Hong Kong.

Thetford Mines, Quebec – December 21, 2022 – KDA Group Inc. (TSXV: KDA) (“KDA” or the “Corporation”) is pleased to announce that it has acquired Covapharm Inc. (“Covapharm”) pursuant to a share purchase agreement (the “Share Purchase Agreement”) dated December 16, 2022, for a consideration of $200,000.00 payable in monthly instalments of $10,000.00 over a period of twenty (20) months from the closing date and a maximum of 1,825,000 Class A shares in the capital stock of the Corporation (the “KDA Shares”).

(TSXV: KDA) (“KDA” or the “Corporation”) is pleased to announce the appointment of Mr. Luc Olivier as Chief Financial Officer of the Corporation effective yesterday, October 17, 2022. As a result of this appointment, Mr. Michael W. Kinley, who has been acting as interim Chief Financial Officer of the Corporation, will remain a director of the Corporation.
